Terms of Service

1. Acceptance of Terms

By creating an account, subscribing to a paid plan, or otherwise using ModelRelay ("the Service"), you agree to these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

ModelRelay is a managed LLM relay. It routes inference requests from your applications to your own GPU worker endpoints and/or third-party model providers (for example, OpenAI or Anthropic). You are responsible for configuring the workers and providers that your traffic is routed to.

3. Account Responsibilities

  • You must provide accurate signup information and keep your account credentials safe.
  • You are responsible for anything sent through your API keys, including the behavior of your workers and any content your end users submit.
  • You must not share your API keys publicly or embed them in client-side code distributed to untrusted users.

4. Acceptable Use

You agree not to use the Service to:

  • Transmit illegal content or content that violates another party's rights.
  • Circumvent or abuse the acceptable-use policies of any third-party model provider we route to on your behalf.
  • Resell raw ModelRelay or upstream provider API keys, or operate the Service as a passthrough key broker.
  • Attempt to disrupt, reverse engineer, or gain unauthorized access to the Service.

5. Payment and Cancellation

Paid subscriptions are billed through Stripe on a recurring monthly basis. You may cancel at any time from your dashboard or the Stripe billing portal. Cancellation takes effect at the end of the current billing period; we do not issue refunds for partial months.

6. Service Availability and Rate Limits

We operate the Service on a best-effort basis. At this tier we do not offer a written uptime SLA. We may apply per-account rate limits to protect the Service or upstream providers, and we may adjust those limits over time.

7. Suspension and Termination

We may suspend or terminate accounts that violate these Terms or our acceptable-use expectations, that incur chargebacks, or that we reasonably believe put the Service or other users at risk. You may close your account at any time.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We make no guarantees about the accuracy, quality, or availability of outputs returned by upstream model providers or your workers.

9. Limitation of Liability

To the fullest extent permitted by law, our aggregate liability to you for any claim arising out of or relating to the Service is limited to the fees you paid to ModelRelay for the Service in the twelve (12) months immediately preceding the claim. We are not liable for indirect, incidental, consequential, special, or punitive damages.

10. Governing Law and Venue

These Terms are governed by the laws of the State of California, excluding its conflict-of-laws principles. Any dispute will be resolved in the state or federal courts located in San Francisco County, California, and you consent to personal jurisdiction and venue there.

11. Changes to These Terms

We may update these Terms over time. For material changes, we will email the address on your account at least 30 days before the change takes effect. Continued use of the Service after a change takes effect constitutes acceptance of the updated Terms.
